End User License Agreement (EULA)
Gorilla Dash Solutions Inc. (“Gorilla Dash” or “We”) provides access to its software-as-a-service platform (“SaaS Platform” or “Service”) which holds clients’ customer and sales data. This EULA sets forth the terms and conditions under which you may access and use the SaaS Platform.
By using the Service, you acknowledge that you have read and understand this EULA, and agree to be bound by its terms and conditions. If you do not agree to this EULA, do not use the Service.

Grant of License.
Gorilla Dash grants you a non-exclusive, non-transferable, limited license to use the SaaS Platform for your business purposes only. You may not sublicense, assign or transfer any of your rights or obligations hereunder without the prior written consent of Gorilla Dash.

Restrictions.
You may not modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service. You may not access the Service for the purpose of building a competitive product or service.

Confidentiality.
You acknowledge that the Service and any information you access or receive through the Service is confidential and proprietary information of Gorilla Dash and its clients. You shall maintain the confidentiality of such information and shall not use such information for any purpose other than to carry out the purposes of this EULA.

Data Privacy.
Gorilla Dash will comply with all applicable data protection and privacy laws and regulations in the handling of client data. You shall also comply with such laws and regulations, including obtaining customer data in a lawful manner, and shall not misuse or misappropriate client data. You are responsible for ensuring that all data entered into Gorilla Dash adheres to privacy rules in your jurisdiction. You shall only use customer data entered into Gorilla Dash in a lawful manner.

Intellectual Property.
The Service and all associated intellectual property rights are the exclusive property of Gorilla Dash. You shall not acquire any ownership rights in the Service or any intellectual property rights related thereto.

Termination.
This EULA shall remain in effect until terminated. Gorilla Dash may terminate this EULA at any time if you breach any of its terms and conditions. Upon termination, you shall cease all use of the Service and shall destroy all copies of the Service in your possession or control.

Disclaimer of Warranty.
The Service is provided “as is” and “as available” without warranty of any kind, either express or implied. Gorilla Dash does not warrant that the Service will be uninterrupted or error-free.

Limitation of Liability.
In no event shall Gorilla Dash be liable for any damages, including without limitation, indirect, incidental, special, or consequential damages, arising out of or in connection with the use of the Service.

Payment Terms.
You agree to pay all fees for the Service in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Gorilla Dash reserves the right to suspend the Service and disable access to the Service if you have any unpaid charges over 30 days old. Additionally, if there are unpaid charges over 90 days old, Gorilla Dash reserves the right to delete your data.

Governing Law.
This EULA shall be governed by the laws of the jurisdiction in which Gorilla Dash is incorporated, without reference to its choice of law provisions.

Entire Agreement.
This EULA constitutes the entire agreement between you and Gorilla Dash with respect to the use of the Service, and supersedes all prior or contemporaneous understandings or agreements, whether written or oral, regarding such subject matter.

Updates.
Gorilla Dash may update this EULA from time to time by posting a new version on its website or providing notice to you. Your continued use of the Service after such notice constitutes your agreement to the updated EULA.

Support.
Gorilla Dash may provide you with support services related to the Service. The level and availability of support may vary and shall be subject to separate terms and conditions, if applicable.

Severability.
If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver.
The failure of Gorilla Dash to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Gorilla Dash in writing.

Survival.
The provisions of this EULA that by their nature should survive termination, including but not limited to the sections on confidentiality, intellectual property, limitation of liability, and governing law, shall survive termination.
